2. DEFINITION OF TERMS

• Source Code: The underlying human-readable computer programming instructions that comprise the Software.
• License Key: A unique digital credential provided upon purchase to validate the legal use of the Software.

3. ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 18 years of age to use this Service. By registering an account, you represent that all information provided is accurate and current. You are solely responsible for maintaining the confidentiality of your login credentials. LIMING OVERSEAS TECHNOLOGY LIMITED shall not be liable for any losses caused by unauthorized access to your account resulting from your negligence.
4. LICENSE GRANT AND SCOPE OF USE
Upon successful payment and verification, LIMING OVERSEAS TECHNOLOGY LIMITEDgrants you a non-exclusive, non-transferable, and revocable license to utilize the Software.
• Single-Site License: Use is restricted to one (1) production domain.
• Extended/Enterprise License: Permits deployment on multiple domains as specified during the checkout process.
• Modification: You are permitted to modify the Source Code only for your own functional requirements, provided that all copyright notices remain intact.
5. PROHIBITED CONDUCT AND MISUSE
Licensees are strictly prohibited from:
1. Redistribution: Selling, leasing, or gifting the Software or its Source Code to third parties.
2. SaaS-ing: Using the software to create a hosted service that competes directly with our business model without an Enterprise License.
3. Removal of Branding: Removing proprietary "Powered by JACKCMS" or "LIMING OVERSEAS" metadata unless a "White Label" license is obtained.
4. Malicious Use: Using the Software for phishing, illegal gambling, or distribution of malware.
6. INTELLECTUAL PROPERTY OWNERSHIP
All title, ownership rights, and intellectual property rights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by LIMING OVERSEAS TECHNOLOGY LIMITED. The Software is protected by international copyright laws and treaty provisions.
7. FINANCIAL TERMS: PAYMENTS, TAXES, AND PRICING
Pricing for all products is listed in USD unless otherwise specified. We utilize Paddle as our primary merchant of record for secure payment processing.
• Taxes: You are responsible for any Value Added Tax (VAT), sales tax, or import duties applicable in your jurisdiction.
• Price Changes: We reserve the right to modify pricing at any time without prior notice.
8. STRICT NO-REFUND POLICY FOR DIGITAL GOODS
Due to the digital nature of the Software and the irrevocable access to Source Code upon purchase, LIMING OVERSEAS TECHNOLOGY LIMITED operates a strict NO-REFUND policy.
• Evaluation: It is the User’s responsibility to review demos, documentation, and system requirements prior to purchase.
• Exemptions: Refunds are only considered in cases where a technical defect prevents the software from functioning entirely as advertised, and our support team is unable to rectify the issue within fourteen (14) business days.
9. USER-GENERATED CONTENT AND FEEDBACK
Any feedback, suggestions, or code contributions sent to us regarding the Service shall become the sole property of the Company. We shall be entitled to the unrestricted use of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
10. THIRD-PARTY INTEGRATIONS (PADDLE, APIs)
Our Services may integrate with third-party providers (e.g., Paddle, Google Search APIs, Gemini API). LIMING OVERSEAS TECHNOLOGY LIMITED does not control these third parties and is not responsible for their service uptime, privacy policies, or data handling practices. Use of these integrations is at your own risk.
11. TECHNICAL SUPPORT AND MAINTENANCE
Standard purchases include six (6) months of technical support via our ticketing system. Support is limited to:
• Clarifying software functionality.
• Assistance with initial installation.
• Bug fixes for the core original code. Support does not include custom feature development or troubleshooting issues caused by your server environment or your own code modifications.
12. SYSTEM AVAILABILITY AND SERVICE INTERRUPTIONS
While we strive for 99.9% uptime for our website and licensing servers, the Service is provided "as available." Periodic maintenance, hardware failures, or network issues may cause temporary downtime. We are not liable for any business losses incurred during these periods.
13. DATA PRIVACY AND SECURITY COMPLIANCE
Your privacy is governed by our Privacy Policy. By using the Service, you consent to the collection and processing of your data in accordance with GDPR (General Data Protection Regulation) and other relevant data protection laws where applicable.
14. DISCLAIMER OF WARRANTIES (AS-IS)

15. LIMITATION OF LIABILITY AND INDEMNIFICATION
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS OR DATA) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless LIMING OVERSEAS TECHNOLOGY LIMITED from any claims, damages, or legal fees resulting from your violation of this Agreement.
16. TERM, TERMINATION, AND SUSPENSION
We reserve the right to suspend or terminate your license and account immediately if we detect unauthorized distribution of our Software or any breach of these terms. Upon termination, you must cease all use of the Software and destroy all copies of the Source Code in your possession.
17. EXPORT CONTROL AND GLOBAL SANCTIONS
You represent and warrant that you are not located in a country that is subject to a U.S. or International government embargo, or that has been designated as a "terrorist supporting" country. You must comply with all local and international export laws.
18. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where LIMING OVERSEAS TECHNOLOGY LIMITED is registered, without regard to its conflict of law principles. Any dispute arising from these terms shall be resolved through binding arbitration.
19. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This document represents the entire agreement between the parties and supersedes all prior communications.
